The founding members could be consider Melody, Ironmouse and Silvervale. Mainly Melody, who pushed the idea harder than anyone, and as stated by herself and Ironmouse, Ironmouse was the last one to agree upon, other were mainly due to Melody nepotism. Silvervale could be the only one applied to that statement, as Veibae wasn’t even in the original roster (originally rejected the idea) and Nyanners was a friends of them, that got the same treatment as Zentreya, Apricot and Hime.

As for the close part, you might be right in the unlogical world of friend’s business and/or streamer friendships, but for the part that matters in a logical sense of contracts and negotiations, all of them managed to push down whatever VShojo contract was originally as they negotiated. Those 3 didn’t, but their contract was significantly better than some of the regular Vtuber orgs, as they not only left with their IP intact, projects such as the Smite collab and Veibae’s Figure with GoodSmile, were still released with any issue. TL;DR: Employer-employee relationship.

Talent management agency (VShojo, Mythic, MSM, UTA, etc.): Their business model is to offer managerial services to their talent in exchange for payment which can be direct (the talent literally pays money to the agency) or by taking a cut from related avenues (merch, sponsors, etc.). The talent owns the IP and licenses it to the agency for use in merch, marketing, etc. Managers are the people the agency assigns to help the talent. Generally non-exclusive, a talent can sign with multiple agencies if each specializes in managing different aspects of the talent's career.
