Companies want talents to grow, and specifically grow owned ips. Getting a free source of growth would have no real downsides, unless they feel like it could compromise the ip itself. If companies really followed the principle of heavy limiting growth to retain talents, they'd do it for any kind of groth across the board, not just for external projects where the fans pipeline is not even that obvious. Again, if it was obvious, talents would have no problems going solo, and most companies keep track of other companies' talents side exposure because they are not incompetent. And a talent fucking off will retain fans whether they know it from main or side projects. I'll leave ethics to someone else, and again, I'm not saying it's black and white

An indie vtuber is a product, and a competing one at that. You would maybe have an argument if you were talking in terms of the real person being able to talk about it publicly but even then, with how some 'vtubers' have pretty much no dividing line between their real selves and their characters even that doesn't hold much water in the negotiation table. Vtubing is a very different beast to pretty much any other sort of industry because of how the entire point is to blur the line between real person and product. Because of how closely the roommate and the character are tied (i.e. the character can't be recast) it's less like a one and done contract and more like licensing out the vtuber to the roommate. To give another example, it would be like you opening up a McDonalds and after closing it, not being able to use any sort of McDonalds iconography in whatever new venture you're using the building for.
Again, it just sounds like a necessary clause to protect the company's interests.

sure, they technically 'can', but often time contracts are made to incentivize it. courts will ask 'who broke the contract' and whoever did fist just loses most of the time. alot of people cant afford that and alot of companies are willing to make sure you feel it too should you try.
