Which is not enforceable. This is illegal in most countries, as the court of jurisdiction would be where the employee lives/company is based.
If Sayu takes it to court, it'll be California (but Nji can't be brought over unless it becomes criminal).
If Niji takes Sayu to court, it'll be in Japan, but they can't extradite Sayu either (not for a civil suit).
So this is a nonstarter, and just plain unenforceable.
