I'm leaving out a ton of unenforceable shit here -
> VTuber = person behind the scenes, not character, in the contract
> Article 2 & 3.1 mean the liver can't do indie activities without consent from Anycolor
> Article 4, Anycolor can pay up to 200k yen ($1300) for anything the liver bought for any streaming activities, but only if they feel like it. This money won't be charged if the contract is terminated within 2-3 months of signing.
> Article 7, they want "certain information" from the livers before they can even begin activities. What information? Who the fuck knows!
> Article 10, work phones (i.e. iphones for face tracking) and any apps (games etc.) are bought at the livers' expense, but if Anycolor feel like it, they will lend the liver work phones and other stuff.
> 10.4 : I think this is supposed to be applicable only for material that the company lends them (as per 10.2), but the way it's written, it's applicable to literally anything the liver uses for streaming and other activities, even the stuff they themselves paid for. If Zaion's Epic store seizure rumors are true, then it's definitely written maliciously.
> Article 11 : Anycolor can puppeteer the livers' social media account for their own use if they want, but the liver is responsible for any issues that arise from "mismanagement" of these accounts.
> Article 13 : Very vague definitions, but most likely applies to Play Buttons and other rewards and any prizes the livers get from tournaments etc.
> Article 15 : Stuff the liver is prohibited from doing (big list).
> Article 16 : They can suspend any liver without prior notice
> Article 16 : Ton of fines to be paid from your income if you do any of the prohibited stuff. Also, if Anycolor terminates the liver for a reason they think applies to the liver, the liver has to pay a fine, probably from their own income, for their own termination. Yes, it's that retarded.
> Article 18 : No guarantee of "profit" (undefined in contract). Possibly means no income guarantee either. Basically the entire section goes "Anycolor is not responsible for ANYTHING, liver has to use their own time and money to solve any legal disputes, copyright issues etc. that they have".
> Article 19 : More fines if you "damage the company" by breaching ANY terms in the contract. If the liver gets into any dispute with another VTuber (could be their own as well) or a third party, they have to continuously tell the company about the status of the dispute. But the company will do fuck all, liver has to resolve it at their own cost. Any money that the company has to pay in fines etc. due to the livers' dispute will be taken from the liver's income.
> Article 20 : Contract can be terminated by the company with zero notice if the liver does any of the stuff in the list given (which includes "act of betrayal against Anycolor").
> Article 22 : Contract is for 2 years, any negotiation should be 3 months before the deadline, or else it will auto renew. For regular contract termination (without any infractions, aka "please graduate") liver will get 3 months notice.
> Article 23 : Any section of the contract can be amended at any time. If the liver doesn't object to anything for 14 days, or "conducts any VTuber activity" (including streaming or tweeting) during that time, it auto accepts the new terms.
> Article 24 : Contract related communication should be done in company specified medium, could be fax machine, could be instagram.
> Article 28 : Huge sections of the contract will continue even after the contract is terminated (???), but the section specifying this is not included (again, ???).
> Article 30 : They specify that jurisdiction is Tokyo, but that's not really enforceable for foreign workers.
> Article 31 : "If there's any doubts regarding interpretation, both sides will hold discussion in 'good faith' to resolve the matter." roru. rumao.
It's as much of a shitshow as expected. Also they use the word "distribution"(配信) to mean stream, which heavily implies that the entire document was google translated from Japanese.
