Really it's not surprising that some Japanese game devs are probably big fans of tokusatsu hero shows. Some just have it more on their sleeve then others.

Sergio Leone got sued for remaking Yojimbo as a western, why didn't Inti get sued for this?

I don't know why you sound so surprised. The story of Megaman (original) is almost directly lifted from Android Kikaider. The most obvious reference is that Protoman is Saburo (Hakaider). People think first of Racer X (Speed Racer), but aside from the helmet, everything is directly lifted from Saburo.

And really, it's not surprising that Japanese devs are fans of tokusatsu or anime. Hell, the Shine Spark from Metroid is an attack used by Getter Robo!

I think there's a dissonance here between reality and expectation. Japanese creators don't hide their influences, while Western ones do, simply because they fear being called out on ripping other people off. Very few creators have the courage to directly acknowledge their references, but it's becoming more common over the years (see Tarantino).

Two interesting bits of trivia:
- George Lucas admitted the Indiana Jones idol scene was lifted from a Scrooge McDuck comic.
- Anno said that Evangelion lifted so much from Devilman that he was afraid of getting sued.

Both Astro Boy and Kikaider have plot points that are never brought up in Megaman: Astro was an unwanted creation (he was given to the circus), while Kikaider was made to protect his creator's kids. Still, the parallels with Kikaider are stronger - the antagonist in Kikaider is Prof. Gill (Dr. Wily), another genius in robotics, while Astro Boy has no clearly defined antagonist (at first).

But really, Protoman is Saburo, through and through.
- brother of the protagonist (although Saburo is younger than Kikaider, while Protoman is older than Megaman)
- uses shades
- yellow scarf (signifies a villain or anti-hero - a heroic scarf is red)
- and the biggest one, they both whistle to announce their presence

I don't think there is, but you can usually tell what influenced the characters just by looking at them if you're aware of the source material. Like how watching Casshern makes pic related's similarity to its protagonist more apparent, or how similar the finalized Sigma design looks to Braiking Boss.
