Most noticeable are:
N64 has anti aliasing, smoother graphics without jaggies, but has shorter draw distance, while the PS1 has more draw distance, but the graphics are pretty raw. However, the kind of art direction the game has doesn't make the jaggies look all that bad, and also, the draw distance isn't really too important on this game because it's mostly small places, you're in throughout the game, you don't need to look too far away, so both version has their ups and dows graphically.

The sound is obviously better on PS1, especially since this game has voice acting, they sound clean on the PS1's CD quality while on the N64 they sound pretty bad. Music on N64 is decent, it's just the voices that are bad.
On the subject of music, there are about 4 or 5 tracks with music that were cut from the N64 version, however these tracks aren't featured anywhere on the game itself, they're extra songs you can listen to on the CD Shop. The ending theme was also removed from the N64 version and replaced with another song from the game, in terms of sound, PS1 version wins.

PS1 version has slightly better framerate, and N64 has some camera issues/glitches fixed from the PS1 version.

Kind of obvious, but worth mentioning too, N64 has no loading times at all, of course.
Also, it allows up to 16 files to save your game, as opposed to the 5 save slots on the PS1 ver.

N64 version also has analog stick control and rumble pak functions, Megaman legends isn't compatible with dualshock, you play with the directional pad and no rumble.
If you play with the stick on N64, you can lock on with Z, which is pretty convenient.

I may be missing something, but those are the most noticeable things I believe.
I enjoy playing it more on N64 because of more control options (you can also play with the d-pad on the N64), and no loading times, but I curse the low quality audio.
