The one who needed the merger wasn't Square, it was Enix. Im fact, it was less of a merger and more of an acquisition. Enix didn't really have any runaway successes in the 90s. The one mega successful franchise -- Dragon Quest -- was just licensed to them, as the IP belongs to Horii and his Armor Project.
The merger would meant that Enix would stay afloat in some way or another, and Square finally gets its hands on both Dragon Quest and Final Fantasy, achieving near-monopoly status in the field of RPGs.

That was pretty much the style of Square Enix's CEO Yoichi Wada. The man liked his business acquisitions and tried to pull a second one, Square Enix bought out Eidos. Didn't work out quite like the first time so, ultimately, he got the boot.
