I prefer the design of the second model.
Looks much sleeker and modern, the pcb design is a lot cleaner (the first model has A LOT of botches inside while the second one has only a few). Thanks to that, the second model is really, really easy to work on.
It does lack some of the features the first one has but there's not a whole lot of use for them anyways in my eyes (Support for CD+G Karaoke which has been obsolete for ages and the motorised tray is just another thing that could fail).
There's even a version out there with a modified cd tray top that makes it "compatible" with the 32x
