They base the expiration on a few things, but mostly on the possibility that a small amount of bacteria or contaminants got into the container. Given this small culture and enough time for it to multiply and grow then it can become deadly. The other reason is the preservatives can eventually destroy the food itself leaving no nutritional value and a shitty slop in its place.

That's the "best by" date, meaning by then it's just loses it's high quality in taste. Spam is not acidic on the ph scale so it should be safe to eat for at least five years. Though I'd recommend cooking it just in case.

If it's been sitting in a hot car its entire life, probably not, otherwise I'd say 3 is safe, living in a hot climate and eating expired foods is riskier though. If you live somewhere very cold you can probably eat food 5 years expired no problem.
