I'm not quite sure myself. In order to conduct business as a pass-through entity in nearly any state, you must register with that state. A limited liability partnership is a pass-through organization because profits "pass through" the organization itself to the partners. Because they failed to file in Illinois, they're operating illegally within the state and are subject to taxation and potential fines.
