They can go anywhere in the world and shut down projects.

They can take apart an organization, seize everything, put people in jail, extradite people, seize property, plant and equipment, fine people hosting servers, fine people transmitting web traffic, jail people making false statements of material fact, subpeona people into grand juries, etc., and so on.

The financial penalties can't be discharged in bankruptcy, attorneys have to file appeals in federal courts, coordinate enforcement with Interpol, etc., and so on.

The CFTC already filed against Binance so it appears the SEC and CFTC are going to let the courts decide who has jurisdiction but I have a feeling this is the start of the process.

At the end of the process there will be legal cryptos, securities (perhaps still tradable if exchanges feel like paying for oversight) or commodities, with their own rules.

The coins circled in red are the only ones for which the SEC gives direct proof of "expectation of profit" as per the Howey Test.
Out of these, the argument against ADA is probably the weakest, as it only involves boasting about exchanges.

The SEC's argument against the coins circled in green is very tenuous.
It's basically "people bought tokens and the team said they would develop the protocol, so people naturally thought their token's price would go up".
It's extremely easy to refute the notion that increased demand = price goes up.

It's extremely difficult to prove such an expectation without that.

Yeah, there's no action at all against the coins named as "securities" in the complaint, so really there's no legal commitment on the SEC's part.

They also don't really have anything on couple of them (Atom, Mana, Algo). Those are as much securities as Ethereum is, and the SEC would've definitely included ETH in this complaint.

Which will kill any crypto labeled a security.
Registering with the SEC as a security, is an expensive and lengthy process.
This will kill innovation.

>expectation of profit

Expectation of profit is only one of 4 qualifications that must be met, in order to be a security.
One of the other four qualifications is far more relevant to crypto:
Common Enterprise

I highly recommend reading the below link.
Yes, it's lengthy.
But it goes into detail how there are 3 separate, and contradictory Circuit Court of Appeals rulings regarding what constitutes a Common Enterprise.

None of the three cases have been heard by the Supreme Court.
And until they do hear one of these cases, or something similar, then there is ambiguity as to what constitutes a Common Enterprise.

If you look over the three cases, in option A, almost no crypto would meet the requirements for a Common Enterprise.
Whereas under options B and C, many crypto would meet the requirements.

The law is vague in this regard, and needs clarity.

I am a Filipino lawyer.
Why is that relevant, I mean, I'm from a shithole, right??
Well, Flipland has many similarities to US Law, on both a constitutional standpoint, and also some of its laws were just copied from US Laws. Our interpretations (like Howey) are almost exactly the same too.
Among them was the Securities Act creating the SEC. We literally almost have a word-for-word copy of the law.
Hence, our interpretations are taken from US sources. So, I can say I am sort of knowledgable with this topic.

That said, BTC and ETH are not securities. Especially BTC. If anything XRP could be a security simply because the owners have shown multiple times that XRP isn't for utility, but as an investment, and that they control the entire thing. The owners were retards but that's not the topic at hand here.

BNB is not a security. BNB has created L2s, is a platform for people making their own tokens, and so on. Also, the Howey Test is the absolute prerequisite. Since it isn't a security, everything the SEC says is irrelevant regarding BNB.
Though I'm still reading the complaint, so this is just a side comment.
