Guys sorry if this is the wrong place to post this.. but I don't know where else to ask this question. My boss is the director of a construction company. Recently, he sent out a memo to all the project managers and superintendents that any lumber and wood products are to be purchased through a specific vendor. The reason for this is that our company signed an agreement with the vendor where they will offer us good rates in exchange for exclusivity. The rates are pretty good I must say, but the rates aren't the problem. The problem is that the owner of the vendor happens to be the brother of my boss. This must be some sort of conflict of interest. How is this even legal? I hate the guy and id love to get him fired for this but I'm not sure how to go about doing it. Your thoughts?

assuming you're in the US it's not illegal but it's almost certainly against internal company policy, and even if there is not a specific policy in place his bosses at the company probably wouldn't like it very much. if you want to see him fired, you will need to make a stink internally. most companies have internal ethics tiplines that protect whistleblowers, that would be your play

OP here. I had fun reading your replies. The situation I described was a hypothetical one designed to get the respones I needed. Here's the true story. I am a project manager for a construction company with full purchasing power. I figure I'll build a small shop on a piece of land I own outside the city, and lease it to my brother for 20,000.00 a month. My brother will set up a shell company "XYZ building materials" and act as a pass through between the vendors I currently use, and my construction sites. Since you said this is not illegal then I guess it is a win win for everyone. I spend money on materials as always, the materials show up to site as always, and I get a nice fat cheque every month with no questions asked. Eat shit wagies. :)

If anything your basically hiring to source your materials? Why even set up yard, just straight out hire him to sort your logistics. You give him a list of what you want, he sorts it all out (which you would be doing anyway), whack on couple of percent and Happy days. You may even find it frees up your time which you could use effectively elsewhere and actually save your company money's.

Yes, his shell company will purchase materials from the vendors I usually buy from anyway, then ship it to my construction sites. It's business as normal on my end with an extra stop in between. The shell company will charge a markup of 20 percent or so.

But as long as the markup isn't obvious under audit (like, your company isn't paying over market rate in the end, or isn't buying inferior goods for the same price as previously), then this won't be noticeable and should be fine.
