Introduction

Richard Lohwasser (RL): Dear community members, I see there are many questions about the recent announcement. I will join a video AMA this Friday together with TomoChain’s CEO, Long Vuong, to address the main questions that came up. What I can tell you already now is that the new entity will be a lot more powerful than the old one.

RL: I won’t. The Blockchain is still the core of the energy business (all the trades run on it), and I will also remain active in the new Blockchain infrastructure company.

>Q: Why an Acquisition?
RL: More on this on the AMA, but we realized that a new, merged company is a lot more powerful than a sole Lition alone. We needed a partner beyond a partnership.
Lition has a European Sidechain solution — but no mainnet*, no international footprint, and by far not the resource of a TomoChain. But these resources are needed if you want to play in the major league.
That’s exactly what we want to do. and need to, if we really want to make a difference. And that’s what we will do now.

In order to really support the community we cannot just deliver on a working blockchain or one or two use cases. It also wouldn’t be my ambition. To support the community, but also to create a large value of the coin, we need a stronger, more powerful blockchain company. And that’s why we needed a strong partner. To *not* betray the community.
>Q: Can you address the issue of incentives? Are the incentives correct to make sure that TOMO does not funnel all value to the TOMO ecosystem rather than the LIT token?
RL: You are fully right. This is a concern we therefore took very seriously, and now have incentives that align TomoChain with LIT holders. This was a go-or-no-go negotiation point for us. Anything else would not be fair to the people that believed in Lition.
Q: Would this partnership effect the staking rewards when energy product comes out? How would Tomo chain effect the stakes of that?
>RL: The staking rewards are a result of sidechain transactions. these are the peer to peer trades of our electricity customers, so this is independent of the TomoChain deal.
>Q: How much of a role will you play in the merged company? How long will you stay? Also, will your energy business be dependent on LIT infrastructure for the foreseeable future?
RL: I’ll remain active in the Blockchain infrastructure. The Energy Use case remains fully dependent on the LIT infrastructure. We have to anyway, as there is no other GDPR-compliant, scalable public-private blockchain solution out there.

RL: This is up to everyone’s personal judgement. What I can tell you is that from both a technical point of view and a business point of view the new company can achieve A LOT more than Lition alone.
To become a major, global player you need the global reach, a fully coupled technology, and many real business use cases. Lition alone didn’t have it. Now it has. And only as a global player the blockchain will reach real mass adoption.
That’s the motivation for the deal.

I think people should be significantly more upset that the team lied about the number of transactions for 2020 in the whitepaper. That's for the nodes vested onto the sidechain. The LPS isn't vested onto the sidechain. Everyone right now is getting more than 20% no matter where they are staking. That's what Richard meant.

The ones on the sidechain are "dummy" transactions. Transactions won't be "added" but they will replace the existing ones. We've been given no reason to believe that they will be significantly higher or higher at all. The dummy transactions would be similar in volume to the real transactions.

I'll break it down as simply as I can:

This happens with companies in the stock market all the time and always pumps the value of both the buyer and seller in terms of companies. At the end of the day, that's exactly what this is: one company not even buying the other, just buying the technology that the selling company (Lition) is selling. If this were happening with stocks, LIT would be the pennystock on Robinhood that nobody knew about going from .17 cents to $3 per share in literal seconds.

But because it's the cryptosphere, the general crypto consumer just spastically starts spitting utter nonsense. And add to it that the crypto community is so small (when compared to stocks) every voice no matter how good or idiotic, is amplified 100x over. Basically Twitter, but the people here actually have money instead of green female mohawks.

I said it in a few threads already, but it's more business than shitcoins. Richard is an actual CEO that has employees to take care of, and a company as well. He wants to further the advancement of the company, which the LIT token is still woven into, by selling the technology to another business. Who's to say this isn't bullish for any other actual companies that want to buy such a technology? We'll know more after the AMA, and I hope someone can ask him since I'll definitely be working and will have to catch up, but calm down. FUD is just that: fear, uncertainty and doubt. You're playing yourselves. Just hold, and ask the real questions tomorrow when you have the opportunity, and certainly it'll be clearer. With stocks, the one being bought out basically automatically becomes equally valuable as the sale price. For example, company x buys out company y, which is worth 50 million, and has 10 million shares ($5 per share). Company x pays 150 million for company y, basically making every share worth $15, because shareholders literally own the company, and they're the ones getting paid. (Sometimes the company who's dumping might fump if the purchase is seen as a bad investment, but the other company basically always pumps, and ceases to exist)

With crypto it's not so simple. I don't even exactly know what was being sold but whatever it was my LIT tokens didn't give me any ownership stake in it and thus no profit from Richard selling.

This gives insiders ample time to dump the price to the point of no return, while you and I just watch the price (say we bought at $5, currently worth $10). 9 am rolls around the next day, and while we went to bed with our shares worth $10 per, now they're worth $2, and continuing to dump with all the sell orders mow going through.

I'm still bullish on even the worst case scenario with this acquisition, because legally TOMO is now bound by law to compensate LIT holders if they wreck the technology thanks to the GDPA compliance they also aquired with purchasing the blockchain. But I'll hand you this: we're definitely venturing to a new frontier in this relatively young sector of the market.

It’s all simply business. There are multiple reasons why it is ideal for Tomo to actually acquire Lition blockchain instead of just a partnership.
The first would simply be for on paper liability. You are about to go worldwide with new technology that still has tons of “gray area” when it comes to multi country regulations. Let’s say one day you piss the SEC off and they decide they want to collect a fine, you don’t want them coming and taking your German energy company’s money. Works the same way in reverse. If I’m building on Lition I don’t want the German government coming and taking money from the blockchain company because they want to collect fine from the energy company. The separation of asset ownership protects both assets.

The second reason is marketing and business aesthetics. From a marketing standpoint, is it easier for a small German energy company to sell groundbreaking blockchain technology, that they made to run their startup business, or is it easier for a blockchain company to to sell blockchain technology that already has a small German energy company successfully using it?

Simple example. It’s stupid I know but go with me. What if a tiny mom and pop burger shop, let’s call it “Rich’s burgers” invented a jet engine that was 50% more efficient and 50% cheaper. What would be the best way to sell that jet engine? Sure it’s 50% more efficient and half the price but do you think Boeing would put a meeting on the books with “Rich’s burgers” to buy jet engines? The better option would be if “Rich’s burgers” made a deal with GE aviation to go and sell their jet engines to large plane manufacturers.
