Nick can't sign because he destroyed his keys, on purpose.

Early on he realized that being a central authority figure would be a net detrimental to Bitcoin, so he burned his harddrives, resigning to the Genesis key and the 1M or so Satoshi coins which are linked to the Satoshi identity.

This happened way before the 1M coins had any significant value, so that he wouldn't be tempted to keep being the "boss of Bitcoin".
