It's illegal to create a scheme where your securities get indirectly passed down to retail investors, even if you originally sold them only to accredited investors.

Tokens like Chainlink are illegal securities, the only reason the SEC doesn't take action is because they are under staffed and only investigate 0.0001% of all financial crimes. For example madoff was an obvious ponzi, yet it ran for 40 years right under SEC's nose.
