The thing everyone keeps missing is the ONLY coins they'd have jurisdiction on is ones that offered sale to Americans. If the ICO had terms that specifically forbade Americans from participating (most of them) the SEC can't do shit.

If they get labeled securities you can still buy and sell them on unregulated exchanges in other countries, but they won't get listed on regulated US exchanges.

Any regulated American exchanges that offer fiat. So Gemini, Kraken, Coinbase, etc would not be able to list tokens classified as securities that have not gone through the process with the SEC.

Exchanges outside the US could do what they want. The SEC can threaten all they want, but they only have jurisdiction within the US. ICO's that did not allow Americans didn't break any laws.

Of course it's not about protection, it's about keeping the status quo.
I have papers that will allow me to buy ICO's and trade whatever I want but it requires jumping through hoops and not a lot of people will bother. Which means that the status quo is going to be preserved.
