US requires that all sales of securities be made pursuant to either a registered public listing (VERY costly and time consuming, aka "going public") or a valid exemption from registration. A "valid exemption" more often than not means sale to to an accredited investor pursuant to Rule 501(d). Accredited investor basically means a rich person. Unironically, the entire purpose of the SEC is to keep the rich rich and the poor poor. That wasn't the original in tended purpose (it was to protect uninformed members of the public from scams) but it certainly is now.
