it's the one for the short swing profits. insiders aren't allowed to buy and sell within 6 months. he didn't meant to be an insider since he bought less than 10% and only went over 10% after the share buybacks. and he wasn't an insider before he bought his shares. however someone on reddit who said they're a FINRA expert or someshit said that he would still count as an insider because he bought close enough to 10%, they can see through that he bought a fraction of a percent less than the threshold to effectively be an insider in spirit and they made a cooperation agreement and he appointed 3 board members. so it was speculated that RC would give the short swing profits to the company "ask not what your company can do for you – ask what you can do for your company". now i'm not sure what the company's motivations are in requesting to become the plaintiff, maybe they're hostile to RC and are trying to recover the profits from him to pay off creditors or maybe they're friendly to him and it gives them control over the case to negotiate a deal or who knows what they're trying to do. they say the original plaintiff's case is mooted because their shares were canceled and the company can take over the case anyway since they're the ones who would be owed the short swing profits.
