Why I Believe You Shouldn't Be Worried About Losing Your Shares in BBBY

A bankrupt company's net operating loss carryovers (NOLs) often are one of its most valuable assets.

If the asset is wanting to be retained following a sale or all or part of the company due to restructuring, then there are certain requirements that must be met. I believe that BBBY is following these requirements based on their filings. One of which is preventing the transfer of ownership by acquiring more than 50 percent of shares. I will show how this is beneficial for current shareholders.

Section 382 typically limits the use of NOLs by the acquiring corporation where there is a 50% ownership change. However, this is not necessarily the case in bankruptcy situations.

As long as the corporation was under jurisdiction in a title 11 or similar case and the former shareholders and creditors remain in “control” after the bankruptcy, then the limitations of Sec. 382 do not apply.

Special rules apply in bankruptcy and similar cases limiting the use of these assets but IRC Section 382(l)(5) provides an exception to the general rule if the following conditions are met:

I'll be honest, I was surprised by the Chapter 11 filing. I was expecting a cashflow break-even quarter (as claimed by the board previously) and instead the board filed for Chapter 11 protection and the stock is looking like it's going to be delisted next week. If the worst case scenario plays out and the stock is delisted and shorts never have to close, I'm going to personally lose a lot both psychologically and financially. I was very confident in this play, and if it turns out I was wrong I will literally have to start rethinking the very core of how I invest, which is troubling for existential reasons related to my future as a retail investor.

I have noticed a recent trend on this sub as well as in various corners of the internet that discuss BBBY. I have been quite attuned to how the shills for jimmy and BBBY have worked over the last 2 years as they have been my primary investments in the stock market, and I've noticed a shift. The shills (those paid by the shorts to spread FUD) are building a narrative that there are people online who they designate as 'shills' that are trying to pump the stock in order to accomplish a pump and dump. This accomplishes a few things for the short shills, 1) they have the ability to build a narrative that there was coordinated longs on this stock and 2) spreads confusion regarding the term "shill" in order to confuse people. This, in my opinion, is why the sub is suddenly flooded with buy posts. I'm fairly certain this is the short shills building their p&d narrative, take it with a grain of salt. Not many people buy a stock that is about to be delisted for obvious reasons.

Furthermore, hype dates are purposefully used to crush the morale of holders. In fact, hyping things that are not related to the company is likely the only way left to shake out holders. It creates a false sense of urgency that induces action, which the shorts hope leads to a sale.

I'm holding til the end. I've already lost so much money here that staying put with my DRS'd shares is really the only course of action I have. I am not so much "angry" with the board as much as I am confused with how things have played out, and in such a short amount of time too. Form 25 for delisting where is it?

I was talking to a German bobby and he brought up the form 25. I was looking into this earlier this week as well and it seems a form 25 has to be filed "publicly" for a delist. Anyone know when Party was actually delisted? This was filed on Edgar on Feb 3.

Adultier adult here. It seems that BBBY diluted to BHC making the float 416M. Then they filed the S-1 with the intent to sell to B Riley, which made float 700M; however, they were going to sell to B Riley after RS, but they filed BK before that and then withdrew the S1. That should mean that the float is still 416M, not the >700M that was originally expected. Not only that, but then BBBY traded almost 1B shares that day with only 416M outstanding. I just don’t understand how all of this could have been planned and agreed upon by a governing board for so long (unless of course they were corrupt). If this all plays out in the worse case scenario of chapter 7, or even ch 11 with all the current shareholders left holding the bags of the old company, then I don’t see how these board members could get another job (unless of course, they are hired to do the same thing again with a different company). This would be career ending, especially with the amount of retail investors we have and the sheer amount of eyes on this stock. I find that hard to accept, but maybe they are just that bad at their jobs and maybe they really had no hope of turning the company around (despite the claims of cash flow neutral). OK, I've got a minor genetic trait which makes my eyes look "Asian" and cross eyed. I can see well but the aesthetic issue is there and I've been dealing with retarded comments my entire life. Thanks to the help of a fellow anonymous Redditor I've released a new version of RedditScrape. This new version now uses the push shift API to gather gigantic levels of data for you to download. This means we no longer need to provide any form of reddit credentials.

While the previous version was hard capped at 1,000 posts using the Reddit API, this new version has no limits at all, other than what resources and disk space you have.

For example, if you're brave enough to try and scrape something like gonewild, you'll find it takes DAYS just to get all of the data back from push shift. The JSON text alone is over 9 gigs (3.3 million posts) and climbing.

Running this is now a two step process, but results in a substantially larger set of media from your favorite subs.

Instructions can be found here. I hope I've fixed a few of the problems that people had with the first iteration along the way.

Hey folks. I am a little confused of the concept of attack time on a compressor and how to measure it. There are generally two interpretations that I found:

Attack time is the amount of time it takes for the compressor to start working after it receives an audio signal.

The attack is the period when the compressor is decreasing gain in response to increased level at the input to reach the gain determined by the ratio.

The first one is kind of like a delay time in a DADSR envelope. And the second one is the attack time in a normal ADSR envelope. Which one is correct?

And about the unit of measurement, it is the most common to use ms to measure attack time. But while I read the manual of dbx MC6, under the specs section, it says the Manual Attack Time is "Scalable Program-Dependent: Typically 3dB/msec to 0.04dB/msec". IMO it is a slope or "speed" rather that a fixed period of time, and needs to do some math, like taking the peak loudness minus the gain determined by the ratio and then divide it by this slope, to get a traditional "attack time" which is variable here. We are going through a divorce and this is a card I am an authorized user on. Almost everything is solely in his name. There is no child support order yet. I use it for food, medical bills, utilities, gas for me and the kids. Suddenly, it is locked. I called capital one and they said suddenly I have no available credit or power to discuss the account. He claims his card doesn't work now either (not that I can verify because he doesn't allow me to see his purchases) and that he didn't do this to us. I’ve been placing implants for about 8 years now. I do 150-200 a year. I would have a really good success rate, usually just a handful a year. Recently I switched jobs about a year and a half ago and for the life of me, I can’t figure out why I’m having more failures. I was a botched RIC. However, not in the way that most usually are (from what I have seen). I actually only really had my ridged band removed. I quite literally have full coverage while flaccid. Play the same old standards all the time. You know, like Days of Wine and Roses, Bye Bye Blackbird, On Green Dolphin Street, etc. Everybody knows them. more interesting tunes (like anything by Chick or Herbie or McCoy) are much more difficult and would take extra effort (see #4)

Stick with the same plan on every tune: head, long guitar solo, even longer sax solo, bass solo (so everybody else can take a break), trade fours, head out

Don't deviate from #2 with a risky arrangement or modulation--best to stick to the standard recipe and not have anyone get lost.

Don't rehearse or plan a set list in advance. Jazz is spontaneous right? Besides you'll have 5 or 10 minutes between tunes to talk amongst the group and decide what to play next.

Play at a consistent dynamic level through entire gig, preferably forte.

The drummer must never stop playing (except maybe for a bass solo).

Stick with mostly medium to up-tempo swing feel and squeeze as many notes as possible into your solos. Everybody loves bebop right? If you do try a straight-eighth tune, rush the tempo--don't let it settle into a groove. Got to keep things on the edge. (And for sax players especially, feel free to apply Coltrane's 'sheets-of-sound' concept on every tune, every solo, especially ballads--really impressive.)

Avoid the blues or any 'bluesy' licks--or any kind of 'common language' that the audience can relate to.

Having recently endured a hour-and-a-half set by a local jazz group in Nashville, I can fully attest to the effectiveness of all of these techniques.

I play trumpet and am a high school senior this year, even though I think my playing level is closer to a second year masters student. My range is up to a double E, and on good days I can squeak a triple G if I play with my Wayne Bergeron lead mouthpiece.

Even though I'm on 4th part in big band (director wanted me to support some of the younger players since I have more experience) I play my part up the octave to show the sophomore on lead how he should be playing. Plus, it gives a better voicing since it gives us two trumpets in the extreme upper register and gives each chord more zip.

After our last rehearsal, my director pulled me aside and asked me again to please play my part as written (we've already had several conferences about how the younger players are intimidated by my upper register abilities.) I tried to explain *again* that I need to show the underclassman how to best play. They've only listened to a couple Gordon Goodwin albums, where as I have the entire discography memorized. My director said it sounds bad and that I should work on my tone instead of trying to play as high as I can, but then again, he's a trumpet player who can only play to high D so I think he's probably just jealous.

So I guess my question is: should I quit jazz band and wait until my talents are better utilized in college? Or should I try to see if I can get in touch with Leo P so he can explain to my band director why he's wrong?

I (17 m) had my Yale interview today. The interviewer (25 f) was smoking hot, and we really hit it off. She very clearly liked me and seemed to be giving me “the look” left right and center. Recruiter contacted me for a IB associate role and we're having the first screen next week. I have 0 knowledge in finance, but by that time I can probably learn the 3 financial statements, valuation methods and financial modelling. It is obvious from my resume that I have 0 finance experience or knowledge, and up until this point I have only been in science. Not sure why my resume was picked to be honest. I understand that IB interviews are hardcore and I feel that even if I cram, I'm not going to make it.

I am finishing my 2nd year with 87 credit hours (accounting major). I am accelerating my studies to finish a year early. I recently did not meet the minimum grade in a particular class to continue in accounting (that class was the gatekeeper class), which means I would have to retake the course and get a better grade, which would likely set me back 4-8 months (keep in mind I would still be graduating within the typical 4-year window with this setback due to accelerated studies). This dilemma had me thinking of switching to a finance major, which would be easier and allow me to graduate without the previously mentioned 4-8 month delay.

My goal was to major in accounting, then go to Big 4/get CPA (typical accounting route), but I honestly don't know what I want to do career-wise and don't want to force myself down a harder path if not needed.

I had an 8-month coop with a government agency (in Canada). I worked in AP and was essentially doing glorified clerical work, but this summer, I am going back and will be supervising people who did what I did in my last coop and will be getting some experience with the begetting and forecasting side of the office (I was in the finance headquarters which includes AP and budget/forecast). I have a guaranteed job in the office once I graduate (they told me they don't care about my GPA, since they know my abilities are enough already, so I could coast through Uni with a mediocre GPA); however, I'm worried about getting caught in government.

My dad is a director at RBC, so he could likely give me a nice early career boost. Emphasis on likely, though, because he is more or less HR and never worked actual finance in the bank, but he probably has some connections he could leverage. I know the next step for my career should probably be an MBA, but I’m kind of questioning if I really should or if it’s just what you’re supposed to do because everyone says so. For background I’m currently making around 65k working for the government, so by no means am I rich but I’m comfortable in the Midwest, the benefits are great, and it’s fully remote. It just isn’t what I see myself doing for the next thirty years, and more money would be more better. I’m going to spend about a year and a half to two years full time in the national guard pretty soon and I figured I could knock out most of an online MBA during that time since the job won’t be too demanding. I also can’t afford to take two years off to do a full time MBA.

My concern is with the prospects after finishing school. I’ve seen a few people that have essentially stayed at the same job or are making the same money post MBA, but I’ve only really talked to people who have done it part time.

I also plan on going only to a ranked program (even if it is only part time/online). I don’t see a point in putting in two years of work just to have a degree from a place nobody has heard of unless they’ve lived in the area.

I should also mention I hate networking. I still think something will happen that turns this all around but it's a long shot barring some kind of announcement next Monday or Tuesday. To me, it was strange to me to see a CEO interview where they are reading from notes. She should know this stuff, it's at the core of what she is doing.
