During a merger, in this case it will be a carve out of BABY not the whole of BBBY, the theory is Ichan buys BBBY and sells BABY to Cohen for equity and cash mixed. The acquired stock usually rises and the acquirer stock usually dips during this process until the value of the acquired company is rolled into the value of the acquirer value.
