I had a thought about all this new wave investing. A key part of this whole thing is that the buyers need to all target the same stock and time their buys/sells at the right time to achieve the short squeeze. They also need to ensure that the stock is held for the requisite amount of time for maximum group payoff, at tge risk that the selfish fee don't sell early for their own gain. They cannot overtly collude to manipulate it. It's working here due to the huge hype, but surely a smart contracts open up a way to do this transparently and with less risk or trust? Like you could make a contract that simply holds a stock for either a set period or until a threshold is met, then returns it to the owner. You'd announce a stock that looked over-shorted and say you had made a smart contract that would hold your long, and was open for everyone else to use. People could see how many longs had bought in and deposited into the contract and really squeeze the shorts knowing there was no risk of paper hands as they were locked into the contract until the group win condition was met. All we need is synthetic assets to take off

A stock is a part of the company. Say a company has 100 stocks, that means if you own one stock you own 1%
Say that 1 stock is worth $1. That means the company is worth $100

Now if the company hands out another 100 stocks, you will not own 1% of the company anymore but 0.5%
If the stock is not bought for $1, which it often is not due to simple supply and demand and a company not magically doubling in value with new stock, your stock will decrease in value
Or there might also be people who will sell because they wanted to hold that 1% since it also implies control of the company

I think someone up thread (or in another GME thread) mentioned that there’s now a lot of fomo money in this that won’t be as likely to hodl, which is a good point.
But I’m just hoping that there are enough autists in for the ride to see more hedge funds fucked.

And then on to the next overshorted stock.

Think of stock as money that the company uses to pay its employees. Investment banks are like the central bank of this money. If the supply and demand for this money gets way out of line, they can just create more of it ex nihilo.

When a company pays out stock options to its employees and owners, this is inflationary to the supply of stock and the values goes down (all things being equal) when the company buys shares back this is deflationary and the value goes up.

Right now there is in essence a bank run on the shares of GameStock. When there is a bank-run in the traditional banking system, the central bank creates additional money and loans this to the banks. That gives the banks enough time to smooth things out with their liabilities until the panic blows over.

In this case there are about 2x times the number of shares sold short relative to what is in the market. So the bank (in this case the investment bank) can create those share ex-nihilo and sell them on the market. This will cause the price to collapse and make the shorts whole, wiping out the robbin-hooders

It’ll be down to the company’s constitutional docs (their articles of association). Those would determine whether the board can decide on a share issuance (or slipt, or buyback, etc.) unilaterally, or whether they need shareholder approval.

In most cases, the board would open itself up for liability if it acts in a way that is not in shareholders’ interests though. And in this case, I can’t see deliberately lowering the stock price in order to protect short sellers to be in shareholders’ interests. So even if they have the right to do so, it’d be a risky call for them.

There are situations where it would be in the shareholders’ interests. For example: GME has a lot of debt - a new issuance at current prices could wipe out that debt. So that would be in shareholders’ interest as it prevents the company crashing under its debt load and wiping shareholders out.

Also, thinking cuter in this case, it’d depend on whether the company held any of its own stock. If the held some and can sell that to clear debts, then an issuance would be unnecessary. If not, then perhaps an issuance is possible and advisable.

but think about what they are doing.

create 1,000k new shares, sell them on the open market for 80 per share. Now you have saturated the retail demand at 80 per share the price can fall and the shorts can cover themselves. The price winds up back at 5.00, but you sold millions of shares at 80, and so you have a ton of money on hand to buy the shares back up and take them off the market. It is in the company's interest to do this.

Theres a blurred line between the ‘company’ interest and shareholder interest. The board’s primary responsibility though is to shareholders, not ‘the company’.
If they can wipe debts without destroying shareholder value, then the board would likely open themselves up to lawsuits (not saying they’d 100% lose, but there’s a chance they would), if they didn’t take the option that maintained value.

It could go either way, but they’d be pretty brave to take the issuance route unless they had no other option. It’d be personal liability they’d face: their own money.

Without knowing more about the company’s financial position and options, I wouldn’t bet on either option.
