I’ve posted a few times over the past couple of threads on the fact that in complying with regulatory guidance by FINCEN that XRP is a currency (a virtual ccy, to be exact), Ripple should be in the clear for everything post 2015.

That got me thinking about how the SEC addressed this point.

Here’s what they said in their filing:
>”FinCEN has repeatedly reiterated its view that “virtual currency” that may be converted for traditional fiat currencies may still be subject to the federal securities laws “regardless of other intended purposes” for the convertible virtual currency” [CVCs]

Here’s what FINCEN actually said:

>“Nor does it affect the obligations of any of the participants described herein under other regulatory frameworks. For example, federal securities law may apply to the issuance of CVC as securities regardless of other intended purposes”

Notice the difference? FINCEN specifically carve out the issuance of CVCs, which is much narrower than the SEC’s claim (it only applies to issuance, not ongoing use).

This tracks the other thing I keep posting:
I suspect there will be a settlement whereby ripple pay a fine and get a slap on the wrist for issuing an unregistered security, but XRP in its current guise remains a Currency.
The SEC is happy with money and authority over issuances. FINCEN is happy with authority over continued use.
XSG is happy picking out plots for moon ranches.

I hope we will actually get clarity on this point sooner. The SEC may want to limit the damage of the potential PR nightmare when it becomes clear XRP is not a security in its circulating form, while the market was falsely mislead since they did not clarify that point in their allegations against Ripple. They can make that clarifying announcement sooner while still pursuing their lawsuit against Ripple and the big boys, which is a win for mostly everyone.
