you always want a SPAC near NAV unless you truly believe in the management team (BTWN SPAC is led by Thiel, etc), there are times where deals don't go through/are delayed or any other random event can happen that causes a reversion to the ~NAV. The premium you're paying above 10 is purely speculative, and SPACs usually (I'd say around 50% of the time) drop on merger from peeps looking to make a quick buck off of the hype. Take a look at GHIV > UWMC as another example.. ramp up into 14-15 pre-merger, financials look fine, #2 mortgage company, drops to 8 on merger instead of pumping like expected and is now crabbing at 10
