I think this is onto something here. Cede may be the sole fiduciary in practically every single publicly listed company, companies legally can't act against Cede because they owe them a fiduciary duty. You need to beg them to give you permission to do anything, if you fail to beg them then the courts tell you that you have no rights, and if they say no then you also have no rights.

This is just a state court but I'm not finding any counter-examples.
