Basically, any control person (anyone who owns 10% or more of the stock, their first line family members, and insiders such as executives, directors, CFO, and CEO) have to file Form 144 to the SEC to prevent any massive movement in the dumps. If a stock drops down 7%, 13% and 20% decline in a regular trading session, they have to halt trading on that security, if not, suspend trading on it for the rest of the trading day. That's why insider trades must abide by the 90 day rule, where they're slowly dumping their stock in the next 90 days. They can only do this 4 times a year and sell either 1% of their holdings or the average in a 4 week trading period.
