Ok, so my friend works for this unknown company that owns those kiosks in malls selling knock-off toys, prepaid cell plans, cash for gold type stuff. My friend started out working at one of these mall kiosks years ago, then came into a top management position a few years later for being a top performer. His job was to train new supervisors all over the country. He would fly all around the country, work 80-hour weeks. No work/life balance to speak of. Now he never mentioned any compensation problems while working for the guy who owns this business.

But one day the owner offered him a percentage ownership in the business. And my friend didn't have to invest anything into the company. The owner just gave him 30% ownership in the business. There is nothing wrong with the business from my friends point of view. No accounting issues or lack of profitability. But he doesn't know finance that well. He's always flying around and training employees. He signed some legal papers, and from what he tells me there are no problems. But I'm skeptical. Why would someone give ownership without investment? The owner is still the majority interest in the company and makes all the core business decisions. Could this be a genuine way to show gratitude towards his hard working employee? What are the legal and tax consequences to this new ownership stake. Could the owner be pulling something that could end up being my friend's problem and not his?

TLDR - friend works for a national business. Got offered 30% ownership stake in company with no money down. What risks does this set off?
