The thing to understand about securities fraud:

#1. Tokens are securities. Calling it a "utility" doesn't make it so.
#2. If US people trade your securities, you are liable, no matter where you live, where you're from or how many layers of cayman corps you have. You're even liable for simply being involved in promoting those securities, even if you're not issuing them yourself.
#3. Selling unregistered securities to KYCed accredited investors is legal, but creating a scheme where your accredited investors can sell your securities to retail investors, is NOT legal. That is securities fraud. Chainlink did exactly that.
#4. The SEC will most likely do nothing about it. They are very understaffed and incompetent. It took them 40 years to catch Bernie Madoff. They only investigate 0.0001% of all securities fraud. Though now that Chainlink is amongst the top non-POW tokens by market cap, they might decide to come after them.
