Because the SEC was offering to settle without giving XRP status, that means they would be vulnerable to lawsuits in the future. Ie. they settle, then one year later the SEC still sues them for XRP being a security.

XRP is the only crypto asset with legal clarity decided by the court, even BTC doesn't have that. The Ethereum lawsuit is not off the table and this will probably happen sooner than you think.
