Listen up, the SEC is not dumb. True utility tokens are not securities.

It's the exact same as crowdfunding the development and sale of a limited run of a superior set of kneepads so you can suck more dicks so you can make more money. Ownership of said kneepads doesn't entitle you to ownership of the company producing them, nor of any future profits of said company in the form of dividends, profit sharing, etc.

Will people possibly want to buy your kneedpads for a higher price later so they can suck more dicks? Sure, but only in so much as ownership of said kneepads is a tool that they can then use via work to make money. But that has no bearing whastoever on it's status as a security. So do your research, choose wisely; utility token projects that dotted their i's and crossed their t's have literally nothing to worry about. If not, someone really ought to crowdfund these kneepads though; we're gonna need them.
