These people are actually spreading FUD by coming up with the weirdest type of conspiracies.
If XRP would be deemed a security of Ripple why would the government buy it back? Doesn't make any sense.

The term "security" refers to a fungible, negotiable financial instrument that holds some type of monetary value. It represents an ownership position in a publicly-traded corporation via stock; a creditor relationship with a governmental body or a corporation represented by owning that entity's bond; or rights to ownership as represented by an option.
>Publicly traded securities are listed on stock exchanges, where issuers can seek security listings and attract investors by ensuring a liquid and regulated market in which to trade.

Kek worst case XRP will be listed on the NASDAQ and they must pay a fine to Uncle Gary for not registering before selling their securities.
Before securities—like stocks, bonds, and notes—can be offered for sale to the public, they first must be registered with the Securities and Exchange Commission (SEC). Any stock that does not have an effective registration statement on file with the SEC is considered "unregistered."

The problem is the claim that they sold to retail investors. You are perfectly fine to offer and sell unregistered securities to `accredited investors`
Only qualified investors, or individuals who have a net worth of at least one million dollars or an annual income in excess of $200,000, are able to buy and sell unregistered securities.
Let´s assume they only sold to `accredited investors´ (besides it being weird that Jed didn´t got sued) then there´s also some exemptions in SEC rule 144
2. Section 4(1) of the Securities Act provides one such exemption for a transaction “by a person other than an issuer, underwriter, or dealer.”

This is just a global effort to regulate this space.
